Expiration and Final Results of the Exchange Offer

Buenos Aires, August 1, 2022. Pampa Energía S.A. (‘Pampa’ or the ‘Company’; NYSE: PAM; ByMA: PAMP) announces that the offer to exchange its 7.375% Notes due 2023 (the ‘2023 Notes’) (the ‘Exchange Offer’) expired on July 29, 2022 at 11.59 p.m. Eastern Time.

The meaning of capitalized terms not defined herein shall be found in the Exchange Offer Memorandum.

The information and exchange agent, D.F. King, advised Pampa that US$407.1 million representing 81.4% of the aggregate principal amount of the 2023 Notes have been tendered (not validly withdrawn) in the Exchange Offer, satisfying the Minimum Participation Condition of 70%. The breakdown of 2023 Notes tendered between Option A and Option B is the following:

• Option A: US$193.8 million in principal amount of 2023 Notes, representing 47.6% of the aggregate principal amount tendered in the Exchange Offer;
• Option B: US$213.3 million in principal amount of 2023 Notes, representing 52.4% of the aggregate principal amount tendered in the Exchange Offer.

As previously announced, the Early Participation Date and the Expiration Date were the same. Therefore, Eligible Holders who validly tendered their 2023 Notes are eligible to receive the Early Exchange Consideration and there will be no Late Exchange Consideration. For each US$1,000 principal tendered and accepted for exchange, Eligible Holders will receive, as applicable:

• Option A: approximately US$377.2 in Series 9 9.5% Notes due 2026 (the ‘2026 Notes’) and US$630.2 in cash;
• Option B: US$1,030 in 2026 Notes.

Hence, Pampa expects to issue US$292.8 million aggregate principal amount of the 2026 Notes and to pay US$122.1 million in cash consideration.

Subject to the satisfaction or waiver of the conditions set forth in the Exchange Offer Memorandum, the Settlement Date is expected to be on or about August 8, 2022.
