Sale and Transfer of Assets

Pampa Energía announces the sale and transfer of assets by its subsidiary Empresa Distribuidora y Comercializadora Norte S.A. (“EDENOR”)

Buenos Aires, May 10, 2012. Pampa Energía S.A. (NYSE: PAM; Buenos Aires Stock Exchange: PAMP) announces that regarding the indirect sale of 70.6% of the share capital of Empresa Distribuidora de Electricidad de Salta S.A. (“EDESA”) informed on April 23, 2012, the transaction was completed today, having fulfilled all the terms and conditions precedent stipulated. As stipulated in the received offer, the buyer paid an amount equivalent to AR$83.8 million, whereas the remaining balance of US$3 million will be settled as agreed and reported in abovementioned relevant event. Furthermore, EDESA settled the total financial credit granted by EDENOR for an amount of AR$131.3 million, plus AR$5.9 million in concept of accrued interests.

The received amounts to the date, which sum up to AR$221.0 million, will be expended to continue developing Edenor’s investment plan.

Lastly, we inform that this transaction generates a consolidated accounting result for 2012 fiscal year of approximately AR$24.5 million.
